TERMS AND CONDITIONS OF SAILY'S GIFT WITH PURCHASE PROMOTION

Effective Date: 19 November 2025

These are the Terms and Conditions of Saily's gift with purchase promotion (“Promotion”). By participating in this Promotion, you agree to these Terms and Conditions, which are a binding contract between you and the organizer and sponsor of this Promotion Saily Inc. (a corporation organized under the laws of the State of Delaware, United States of America, under registration number 4419800, principal business address 330 N Wabash Ave, Chicago, IL 60611, United States of America; “Saily”). Please read them carefully before entering.

1. Eligibility.
This Promotion is open to all individual users of Saily Services (for personal, consumer use), provided they meet the specified eligibility criteria outlined below:

  • Participants must be at least eighteen (18) years of age, or the age of majority in their state, province, or territory of residence, whichever is greater, at the time of purchase.

  • Participants must purchase a 10 GB, 20 GB or Unlimited Saily’s data plan (reflected on the Saily’s website or application; “Plan”) during the Promotion Period.

For the purpose of these Terms and Conditions, individuals who meet the above criteria are referred to as “Participant” or “Participants”.
PLEASE NOTE: This Promotion is available globally under uniform conditions for all Participants. However, the Promotion applies only for locations (travel destinations) where Saily offers the eligible data Plans during the Promotion Period, as outlined in these Terms and Conditions. Please note that if the eligible data Plans are not available in certain locations, the Promotion will not be accessible in those destinations.
Promotion is not valid with any other Saily's offers/promotions. Purchase of a Plan is necessary. No entry fees apply to be eligible for the Promotion.
Employees of Saily, its subsidiaries, affiliates, and parent companies, or anyone associated with the administration of this Promotion are not eligible to participate.
2. Promotion Period.
The Promotion starts on 19 November 2025 at 10:00 AM Central European Time (“CET”) and ends on 16 December 2025 at 10:00 AM CET (“Promotion Period”). The timekeeping device used by Saily is the official clock of the Promotion.
3. Gift.
Upon successful purchase of a Plan during the Promotion Period, each verified and confirmed Participant who meets the following eligibility criteria outlined herein will receive the following NordVPN subscription (hereinafter referred to as the "Gift"):

  • For the 10 GB data Plans - NordVPN Basic 1-month plan.

  • For the 20 GB data Plans - NordVPN Plus 1-month plan.

  • For the Unlimited data Plans - NordVPN Complete 1-month plan.

Restrictions apply. Please review NordVPN Terms of Service and Privacy Policy carefully and make sure you understand them before you redeem the Gift.

The Gift cannot be exchanged for cash, alternative items, services, or transferred to other users. Saily assumes no responsibility for lost or stolen Gifts due to circumstances beyond its control (e.g., redeemed without the Participant’s permission), and replacements will not be issued. The Gift is provided as specified, with no additional items or services included.
4. How to Participate and Gift Delivery.
During the Promotion Period, all Participants who meet the eligibility criteria set forth in Clause 1 will automatically qualify to receive the applicable Gift.
Participants will receive the Gift via email immediately following the purchase, together with the order receipt and redemption instructions. The Gift can be redeemed at https://my.nordaccount.com/activate/ and must be redeemed no later than 31 May 2026.
It is your responsibility to know and comprehend any and all relevant laws related to any jurisdiction or venue that concerns you, your actions, and your use of NordVPN services.
No more than one (1) Gift per Participant: anyone attempting to enter more than once, including through multiple accounts or email addresses, will be disqualified.
5. Privacy.
Saily will retain the information pertaining to the Services, as set out in Saily’s Privacy Policy. No additional information concerning any Participant will be collected, except for data related to participation in the Promotion (purchase details and information about the received Gift). Such data will be processed only for the purposes of (i) organizing and coordinating the Promotion, (ii) ensuring compliance with these Terms and Conditions, and (iii) delivering the Gift.
6. Release and Limitation of Liability.
If the Promotion is not capable of running as planned for reasons outside control of Saily (including but not limited to tampering, unauthorised intervention, fraud, or any other causes beyond the control of Saily that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this promotion), Saily reserves the right (subject to any written directions given under applicable law) to disallow any reward claims at its sole discretion or to cancel, terminate, modify, or suspend the Promotion.
Saily assumes no responsibility for damages, losses, or injuries that result from acceptance of the Gift or participation in this Promotion, unless applicable law provides otherwise.
7. Additional Terms.
Each individual participating in the Promotion was, is, and shall be bound by the Saily Consumer Terms of Service for the entire duration of their use of Saily services.
Saily reserves the right to modify, suspend, or terminate the Promotion at any time and without prior notice to Participants, including but not limited to in the following circumstances:

  • Detecting Suspicious or Fraudulent Activity: Protecting the integrity of the Promotion if suspicious or fraudulent activity is detected, such as fake accounts or misuse of the Promotion.

  • Abuse of the Promotion Framework: Addressing abuse of the Promotion’s framework, including bulk account creations.

  • Violation of the Terms: Suspending or terminating the Promotion if there are violations of Saily Consumer Terms of Service and/or these Terms and Conditions, such as providing false information.

  • Operational and Technical Issues: Resolving operational or technical issues that impact the Promotion's functionality or fairness.

  • Compliance with Legal and Regulatory Requirements: Ensuring compliance with applicable legal and regulatory standards.

  • Changes in Business Strategy: Adjusting the Promotion in response to changes in business strategy, such as shifting marketing priorities.

  • Ensuring Fairness and Integrity: Making necessary adjustments or canceling the Promotion to maintain fairness and integrity of Saily Services.

Any attempt to manipulate the outcome or benefits of the Promotion, including but not limited to purchasing for resale, bulk account creation, multiple checkouts tied to a single individual or entity, or other exploitative behaviors, will result in immediate disqualification, revocation of Promotion benefits, and forfeiture of any Gift awarded or to be awarded.
8. Miscellaneous.
By participating in this Promotion, each Participant agrees that Saily's decisions related to the Promotion and all distribution of Gifts are final. Any difficulties in interpreting these rules and any disputes will be settled by Saily or by the competent courts.
Please note that this Promotion is offered to all Participants across the world under the same conditions. If mandatory laws of your country set certain restrictions for such promotions, please refrain from participating in it.
9. Language Discrepancy.
In the event of any conflict, discrepancy, or inconsistency between the provisions of these Terms and Conditions and any statements, representations, or other information contained in any Promotion-related materials, advertising, or communications, the provisions of these Terms and Conditions shall prevail.
10. Governing Law and Dispute Resolution.
These Terms and Conditions shall be interpreted and applied on the basis of the laws of the State of Delaware, United States of America. Any disputes arising from or related to this Promotion shall be settled by the courts of the State of Delaware. However, for consumer protection purposes, the applicable consumer protection laws of your country of residence may apply.
