TERMS AND CONDITIONS OF SAILY'S REFERRAL REWARDS SPRINT CAMPAIGN

Effective Date: 1 June 2026

These are the Terms and Conditions (“Terms”) of Saily's Referral Rewards Sprint Campaign (“Campaign”), a referral-based initiative enabling Saily users to promote Saily services and earn rewards based on successful referrals. By participating in this Campaign, you agree to these Terms, which form a binding legal agreement between you and Saily (“Organizer”), so please read them carefully before entering.

1. Campaign Scope and Territory

1.1. These Terms supplement the existing Referral Program Terms and Conditions. Participants remain eligible to receive all benefits under the Referral Program Terms and Conditions for successful referrals, in addition to any rewards granted under this Campaign.

1.2. The Campaign is a limited-time promotional initiative offered on a global basis, subject to applicable laws and regulations. Participation may be limited or unavailable in certain jurisdictions where the Campaign would be prohibited or restricted under applicable law.

1.3. Participation is void where prohibited by applicable law. At the time of the Campaign, rewards cannot be redeemed by participants located in Afghanistan, Belarus, Cuba, Iran, Iraq, Myanmar, North Korea, Russia, Syria, Ukraine, Venezuela, or Yemen. The Organizer reserves the right to modify the list of restricted jurisdictions at any time to ensure compliance with applicable laws, sanctions regimes, or third-party gift card and rewards platform requirements.

2. Campaign Period and Limited Rewards Pool

2.1. The Campaign is subject to a total rewards pool of USD 50,000.
2.2. The Campaign starts on 1 June 2026 at 10:00 AM Central European Time (“CET”) and is scheduled to end on 14 August 2026 at 10:00 AM CET; however, the Campaign may end earlier if the total rewards pool is exhausted, or may be extended or modified in accordance with these Terms.
2.3. Participation is available only while the rewards pool remains available. The timekeeping device used by the Organizer shall be the official clock of the Campaign.

3. Eligibility

3.1. The Campaign is open to all individual users of Saily (“Referrer”), provided they meet all of the following eligibility criteria:
3.1.1. Are at least 18 years of age, or the age of majority in their country or territory of residence (whichever is higher);
3.1.2. Have or create an active Saily account in good standing; and
3.1.3. Explicitly opt in to the Campaign and accept these Terms within the Saily application (“App”).
3.2. No entry fee is required. However, rewards are conditional upon successful referrals in accordance with these Terms.

4. How it Works

4.1. A dedicated section for the Campaign will be available within the Saily App, accessible through the Referrer’s Saily account in the “Credits” section.

4.2. Upon opting in to the Campaign, Referrers may access their unique referral code (“Referral Code”) and track their referral progress through a progress bar interface.

4.3. The referred user (“Referred User”) must enter the Referral Code during the checkout process when making their first purchase of Saily services.

4.4. A referral qualifies only if the Referred User is a new Saily user and meets applicable eligibility requirements set out in these Terms.
4.5. The Referral Code:
4.5.1. Provides a one-time discount of USD 5;
4.5.2. Is valid only for the first purchase of Saily services;
4.5.3. Cannot be applied to plans priced below USD 5.60;
4.5.4. Cannot be combined with other coupon codes, promotions, or discounts.
4.6. Saily reserves the right to invalidate any usage of a Referral Code where the Referral Code has been previously used, the benefit has already been redeemed, and/or if the Referral Code is cancelled, misused, or used in breach of these Terms.

5. Rewards

5.1. Following a successful referral, the Referrer will receive Saily credits in accordance with the Referral Program Terms and Conditions.
5.2. In addition, the Campaign includes tiered milestone rewards. Referrers may earn rewards upon reaching the following referral milestones:
5.2.1. 3 successful referrals: USD 10 gift card;
5.2.2. 6 successful referrals: USD 15 gift card;
5.2.3. 10 successful referrals: USD 25 gift card.

6. Rewards Claiming and Cooldown Period

6.1. Following the achievement of a referral milestone, rewards shall be subject to a verification and cooldown period of up to 30 days, to account for refund rights, fraud prevention, and validation of qualifying referrals. The cooldown period is triggered automatically upon reaching the relevant milestone.
6.2. During the cooldown period, rewards will be marked as “pending” in the Referrer’s progress bar interface within the Saily App (in the “Credits” section).
6.3. Upon successful completion of the cooldown period and validation, rewards become claimable. The Referrer must actively claim the reward by selecting the designated claim option within the Saily App.
6.4. Referrers shall be entitled to claim rewards upon reaching each applicable milestone. The Campaign includes a total of 3 milestone tiers, each corresponding to a separate gift card reward. Milestone rewards are cumulative, meaning that a Referrer who reaches the highest milestone of 10 successful referrals shall be eligible to claim all preceding milestone rewards, for a total value of up to USD 50 in gift cards. No additional gift card rewards shall be granted for referrals exceeding 10.
6.5. The Organizer reserves the right to shorten or extend the cooldown period at its sole discretion where reasonably necessary for operational, fraud prevention, or compliance purposes.
6.6. Following the end of the Campaign, and provided that the rewards pool has not been exhausted, Referrers may redeem eligible rewards for a period of 1 month after the Campaign end date. Upon expiration of such post-Campaign claim period, any unclaimed rewards may be forfeited without further notice.

7. Rewards Delivery

7.1. Gift cards are provided by a third-party gift card and rewards platform, Tremendous (https://www.tremendous.com/). By redeeming a reward, Referrers acknowledge and agree that such redemption is subject to Tremendous’s applicable terms and policies, which they are required to review prior to redemption.
7.2. Upon claiming a reward within the Saily App:
7.2.1. The Referrer will receive an email with redemption instructions;
7.2.2. The Referrer may select from available gift card options provided by Tremendous;
7.2.3. Reward fulfillment is subject to Tremendous’s terms and availability.
7.3. Rewards are non-transferable and may not be redeemed for cash or any cash equivalent. Rewards are provided as stated, and no substitutions or additional benefits shall be included.

8. Taxes and Legal Compliance

8.1. Referrers are solely responsible for any taxes, duties, or similar charges that may arise in connection with receiving rewards, in accordance with applicable laws.
8.2. The Organizer shall not be responsible for any tax obligations incurred by Referrers.

9. Campaign Modifications and Cancellations

9.1. The Organizer reserves the right to modify, suspend, or terminate the Campaign at any time without prior notice for various reasons, including but not limited to:
9.1.1. Protecting the integrity of the Campaign if suspicious or fraudulent activity is detected, such as fake accounts or misuse of Referral Codes.
9.1.2. Addressing abuse of the Campaign’s promotional framework, including self-referrals and bulk account creations.
9.1.3. Suspending or terminating the Campaign if there are violations of General Terms and/or these Terms, such as providing false information.
9.1.4. Resolving operational or technical issues that impact the Campaign's functionality or fairness.
9.1.5. Ensuring compliance with applicable legal and regulatory standards.
9.1.6. Adjusting the Campaign in response to changes in business strategy, such as shifting marketing priorities.
9.1.7. Making necessary adjustments or canceling the Campaign to maintain fairness and integrity of Saily services.
9.2. Engaging in activities such as purchasing for resale, creating multiple accounts, or multiple checkouts linked to the same individual or entity will lead to the immediate revocation of Campaign benefits. Attempts to manipulate or exploit the Campaign's benefits will result in disqualification and forfeiture of earned rewards.

10. Privacy

10.1. Personal data (e.g., Saily account identifiers, email address, referral activity, reward status) is processed in accordance with applicable data protection laws and Saily’s Privacy Policy.
10.2. Personal data is used only for the purposes of (i) administration and operation of the Campaign; (ii) verification and validation of referrals; and (iii) allocation, delivery, and redemption of rewards.
10.3. Where necessary for reward fulfillment, limited personal data (e.g., reward-related information) may be shared with Tremendous. Such data sharing shall be limited and subject to appropriate contractual safeguards.
10.4. Personal data will be retained only for as long as necessary to administer the Campaign, resolve disputes, enforce these Terms, and comply with legal obligations, after which it will be securely deleted or anonymized.

11. General Provisions

11.1. By joining the Campaign, Referrers affirm their agreement to abide by General Terms and these Terms, and confirm their understanding of the same.
11.2. Decisions made by Saily regarding any disputes related to the Campaign are final. No correspondence challenging these decisions will be issued.
11.3. In case of conflict between General Terms, Referral Program Terms and Conditions, and these Terms, these Terms shall prevail over any other terms.
11.4. In cases of dispute over a Referrer’s identity, Saily reserves the right to determine the true identity of the Referrer.
11.5. Nothing in these Terms shall exclude, limit, or affect any mandatory rights of consumers under applicable law, including, where applicable, the laws of the European Economic Area (EEA). To the extent required by such mandatory provisions, those rights shall prevail over these Terms.
11.6. For all purposes, the English language version of these Terms shall be the original, governing instrument and understanding between Referrers and Saily. In the event of any conflict between this English language version of these Terms and any subsequent translation into any other language, the English language version shall govern and control.

12. Governing Law and Dispute Resolution

12.1. These Terms shall be interpreted and applied on the basis of the laws of the State of Delaware, United States of America. Any disputes arising from or related to this Campaign shall be settled by the courts of the State of Delaware. However, for consumer protection purposes, the applicable consumer protection laws of your country of residence may apply.
