TERMS AND CONDITIONS OF SAILY'S GIFT WITH PURCHASE PROMOTION

Effective Date: 1 August 2025

These are the Terms and Conditions of Saily's gift with purchase promotion for WHSmith North America customers (“Promotion”). By participating in this Promotion, you agree to these Terms and Conditions, which are a binding contract between you and Saily Inc. (a corporation organized under the laws of the State of Delaware, United States of America, under registration number 4419800, principal business address 330 N Wabash Ave, Chicago, IL 60611, United States of America; “Saily”), so please read them carefully before entering.

1. Eligibility.
This Promotion is open to all individual WHSmith North America customers, subject to the following eligibility requirements:

  • Participants must be at least eighteen (18) years of age at the time of purchase.

  • Participants must purchase any Saily data plan for any destination (for personal, consumer use), as listed on Saily’s official website or application (“Plan”), during the Promotion Period.

For the purpose of these Terms and Conditions, individuals who meet the above criteria are referred to as “Participant” or “Participants”.
2. Promotion Period.
The Promotion starts on 1 August 2025 at 10:00 AM Central European Time (“CET”) and ends on 31 July 2026 at 10:00 AM CET (“Promotion Period”). The timekeeping device used by Saily is the official clock of the Promotion.
3. Gift.
During the Promotion Period, all WHSmith North America customers who manually apply the promotional code at Saily checkout are eligible to receive the following benefits on Saily Services:

  • A one-time 15% instant discount with the code “WHSMITH15”;

  • 1GB of free data with the code “WHSMITH” ("Gift").

Customers may apply only one promotional code per purchase. Promotional codes cannot be combined.
The Gift cannot be exchanged for cash, alternative items, services or transferred to other users. The Gift is provided as specified, with no additional items or services included.
5. Privacy.
Saily will retain the information pertaining to the Services, as set out in Saily’s Privacy Policy. No additional information concerning any Participant will be collected, except for data related to participation in the Promotion (purchase details and information about the received Gift). Such data will be processed only for the purposes of (i) organizing and coordinating the Promotion, (ii) ensuring compliance with these Terms and Conditions, and (iii) delivering the Gift. It will be retained for the duration of the Promotion and will be deleted no later than six (6) months thereafter.
6. Release and Limitation of Liability.
If the Promotion is not capable of running as planned for reasons outside control of Saily (including but not limited to tampering, unauthorised intervention, fraud, or any other causes beyond the control of Saily that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this promotion), Saily reserves the right (subject to any written directions given under applicable law) to disallow any reward claims at its sole discretion or to cancel, terminate, modify, or suspend the Promotion.
Saily assumes no responsibility for damages, losses, or injuries that result from acceptance of the Gift or participation in this Promotion, unless applicable law provides otherwise.
7. Additional Terms.
Each individual participating in the Promotion was, is, and shall be bound by the Saily Consumer Terms of Service for the entire duration of their use of Saily services.
Saily may, in its sole discretion, disqualify any individual found to be: (i) tampering with the entry process or the operation of the Promotion or any of Saily’s websites; (ii) acting in violation of these Terms and Conditions; or (iii) acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person. If an entry is incomplete or if the Participant uses robotic, automatic, programmed, or similar methods, an entry will be disqualified. The authorised subscriber of the email account used to enter the Promotion at the actual time of the entry will be deemed to be the Participant and must comply with the rules set herein in the event of a dispute as to entries submitted by multiple users having the same email account. The authorised account subscriber is the natural person who is assigned an email address by an internet access provider, online service provider, or other organisation responsible for assigning email addresses for the domains associated with the submitted email address.
8. Miscellaneous.
By participating in this Promotion, each Participant agrees that Saily's decisions related to the Promotion and all distribution of Gifts are final. Any difficulties in interpreting these rules and any disputes will be settled by Saily or by the competent courts.
Please note that this Promotion is offered to all Participants across the world under the same conditions. If mandatory laws of your country set certain restrictions for such promotions, please refrain from participating in it.
9. Governing Law and Dispute Resolution.
These Terms and Conditions shall be interpreted and applied on the basis of the laws of the State of Delaware, United States of America. Any disputes arising from or related to this Promotion shall be settled by the courts of the State of Delaware. However, for consumer protection purposes, the applicable consumer protection laws of your country of residence may apply.
