TERMS AND CONDITIONS OF SAILY REFERRAL CONTEST

Effective Date: 13 August, 2025

These are the Terms and Conditions of Saily Referral Contest (“Contest”). By participating in this Contest, you agree to these Terms and Conditions, which are a binding contract between you and the organizer and sponsor of this Contest - Saily Inc. (a corporation organized under the laws of the State of Delaware, United States of America, under registration number 4419800, principal business address 330 N Wabash Ave, Chicago, IL 60611, United States of America; “Saily”). Please read them carefully before entering.

1. Eligibility.
1.1. This Contest is open to legal residents of Australia, the United Kingdom, the United States, and Germany (“Eligible Countries”), who are at least eighteen (18) years of age, or the age of majority in their state, province, or territory of residence, whichever is greater, at the time of entry (“Referrer” or “Referrers”).
PLEASE NOTE: NO ENTRY FEES APPLY TO BE ELIGIBLE FOR THE CONTEST. MAKING A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THE CONTEST IS VOID OUTSIDE OF AUSTRALIA, THE UNITED KINGDOM, THE UNITED STATES, AND GERMANY.
1.2. Employees of Saily, its subsidiaries, affiliates, and parent companies, or anyone associated with the administration of this Contest are not eligible to participate.
1.3. Winning a Prize (as defined below) is contingent upon fulfilling all requirements set forth herein and is subject to compliance with all applicable federal, state, and local laws and regulations.
1.4. This Contest is offered in the Eligible Countries as a promotional extension of the standard Saily Referral Program and is intended to additionally reward the top Referrers. It does not replace, amend, or otherwise modify the existing terms of the Saily Referral Program, including any associated rewards or conditions set forth therein.
2. Contest Period.
2.1. The Contest starts on 13 August 2025 at 10:00 AM Central European Time (“CET”) and ends on - 15 September 2025 at 10:00 AM CET (“Contest Period”). The timekeeping device used by Saily is the official clock of the Contest.
3. Prize.
3.1. The prizes available under this Contest (“Prize” or “Prizes”) will be awarded to the top ten (10) Referrers who achieve the highest number of successful eligible referrals during the Contest Period. Each confirmed winner (“Winner” or “Winners”) will receive one (1) Amazon gift voucher with a value of five hundred United States dollars (USD $500). The total approximate retail value of all Prizes is five thousand United States dollars (USD $5,000).
3.2. Saily reserves the right, at its sole discretion, to substitute any Prize (or any portion thereof) with a prize of equal or greater value if the designated Prize becomes unavailable for any reason. Prizes are non-transferable, non-exchangeable, and may not be redeemed for cash or any other alternative, except as expressly stated herein or as required by applicable law.
3.3. Each Prize is awarded “as is” without any warranty or guarantee, express or implied, and includes only the items expressly stated. No additional products or services are included. Saily shall have no responsibility or liability for lost, delayed, damaged, or misdirected Prizes. Winners are solely responsible for any and all applicable federal, state, provincial, or local taxes, levies, surcharges, service fees, or any other costs associated with accepting or using the Prize.
3.4. Only the number of Prizes stated in these Terms and Conditions will be awarded. If a potential Winner declines to accept the Prize as described and in its entirety, such refusal shall release Saily from any and all obligations to provide a Prize to that individual.
4. How to Enter.
4.1. While the Contest may be visible to all Saily users, only entries made by legal residents of the Eligible Countries will be deemed valid.
4.2. To participate, the Referrer must be a registered Saily user, either with an existing account or by creating one during the Contest Period.
4.3. Each Referrer may access their unique referral code (“Referral Code”) via their account within the Saily mobile application (“App”).
4.4. Referrers will be automatically entered into the Contest upon making at least one (1) successful referral during the Contest Period. A referral will be deemed “successful” when all of the following conditions are met:

  • The referred individual (“Referred User”) is new to Saily; and

  • The Referred User applies the Referral Code (e.g., “DAIN23355”) provided by a Referrer at checkout and successfully completes the first purchase of Saily Services within the Contest Period. The Referral Code cannot be used on Saily Services priced lower than $5.50 (for additional details regarding the use and limitations of the Referral Code, please refer to the Saily Referral Program Terms and Conditions).

4.5. Information about successful referrals will be reflected in the Referrer's account within the App.
4.6. There is no limitation on the number of referrals a Referrer may make.
4.7. Any Referrer whose referral activity results in two (2) or more Referred Users requesting refunds for their initial purchase during the Contest Period shall be disqualified from the Contest.
4.8. In the event of a tie between two or more Referrers with an equal number of successful referrals, the Referrer whose final qualifying referral was completed first (as determined by the timestamp of the last successful referral) shall be ranked higher.
5. Verification and Prize Delivery.
5.1. Prior to being confirmed as a Winner, each selected Referrer will be notified by Saily via the email address associated with their Saily account approximately thirty (30) calendar days following the conclusion of the Contest Period.
5.2. Upon notification, each selected Referrer must complete Saily’s verification process, including any residency or eligibility checks. Such verification may require the submission of documentation reasonably requested by Saily, including but not limited to confirmation of location (country) or other supporting evidence confirming residency in one of the Eligible Countries. All requested information must be submitted to Saily within fifteen (15) calendar days from the date of notification.
ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SAILY. SAILY’S DECISIONS REGARDING ELIGIBILITY AND COMPLIANCE WITH THESE TERMS AND CONDITIONS ARE FINAL AND BINDING. NO PARTICIPANT SHALL BE DEEMED A WINNER UNLESS AND UNTIL THEIR ELIGIBILITY HAS BEEN VERIFIED TO SAILY’S SATISFACTION AND THE WINNER HAS BEEN FORMALLY NOTIFIED.
5.3. Failure to provide sufficient proof of residency or eligibility within the timeframe requested may result in disqualification from the Contest and forfeiture of any Prize, at Saily’s sole discretion. Saily reserves the right to select an alternate eligible Referrer in such circumstances.
5.4. Saily shall not be held responsible for any failure by a selected Referrer to receive a notification or for any failure by Saily to receive a response, regardless of cause, including but not limited to technical issues, outdated contact details, or email filtering.
5.5. Prizes will be delivered to each Winner via the email address provided during the verification process within fifteen (15) business days following successful verification. By accepting the Prize, each Winner represents and warrants that they meet all eligibility criteria as outlined in these Terms and Conditions, including being a legal resident of one of the Eligible Countries.
6. Privacy.
6.1. Saily will retain the information pertaining to the Services, as set out in Saily’s Privacy Policy. No additional information concerning any Referrer will be collected, except for data related to participation in the Contest (referrals details and information about the received Prize). Such data will be processed only for the purposes of (i) organizing and coordinating the Contest, (ii) ensuring compliance with these Terms and Conditions, and (iii) delivering the Prize.
7. Release and Limitation of Liability.
7.1. If the Contest is not capable of running as planned for reasons outside control of Saily (including but not limited to tampering, unauthorised intervention, fraud, or any other causes beyond the control of Saily that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest), Saily reserves the right (subject to any written directions given under applicable law) to disallow any Prize claims at its sole discretion or to cancel, terminate, modify, or suspend the Contest.
7.2. Saily assumes no responsibility for damages, losses, or injuries that result from acceptance of the Prize or participation in this Contest, unless applicable law provides otherwise.
8. Additional Terms.
8.1. Each Referrer participating in the Contest was, is, and shall be bound by the Saily Consumer Terms of Service for the entire duration of their use of Saily account and/or Services.
8.2. Saily reserves the right to modify, suspend, or terminate the Contest at any time and without prior notice to participants or prospective users, including but not limited to in the following circumstances:

  • Detecting Suspicious or Fraudulent Activity: Protecting the integrity of the Contest if suspicious or fraudulent activity is detected, such as fake accounts or misuse of Referral Codes.

  • Abuse of the Contest Framework: Addressing abuse of the Contest’s promotional framework, including self-referrals and bulk account creations.

  • Violation of the Terms: Suspending or terminating the Contest if there are violations of Saily Consumer Terms of Service, Saily Referral Program Terms and Conditions, and/or these Terms and Conditions, such as providing false information.

  • Operational and Technical Issues: Resolving operational or technical issues that impact the Contest's functionality or fairness.

  • Compliance with Legal and Regulatory Requirements: Ensuring compliance with applicable legal and regulatory standards.

  • Changes in Business Strategy: Adjusting the Contest in response to changes in business strategy, such as shifting marketing priorities.

  • Ensuring Fairness and Integrity: Making necessary adjustments or canceling the Contest to maintain fairness and integrity of Saily Services.

8.3. Any attempt to manipulate the outcome or benefits of the Contest, including but not limited to purchasing for resale, bulk account creation, multiple checkouts tied to a single individual or entity, or other exploitative behaviors, will result in immediate disqualification, revocation of Contest benefits, and forfeiture of any Prize awarded or to be awarded.
9. Miscellaneous.
9.1. By participating in this Contest, each Referrer agrees that Saily's decisions related to the Contest and all distribution of Prizes are final.
9.2. Any difficulties in interpreting these Terms and Conditions and any disputes will be settled by Saily or by the competent courts.
10. Language Discrepancy.
10.1. In the event of any conflict, discrepancy, or inconsistency between the provisions of these Terms and Conditions and any statements, representations, or other information contained in any Contest-related materials, advertising, or communications, the provisions of these Terms and Conditions shall prevail.
11. Governing Law and Dispute Resolution.
11.1. These Terms and Conditions shall be interpreted and applied on the basis of the laws of the State of Delaware, United States of America. Any disputes arising from or related to this Contest shall be settled by the courts of the State of Delaware. However, for consumer protection purposes, the applicable consumer protection laws of your country of residence may apply.
