THIRD-PARTY VOUCHER TERMS AND CONDITIONS

INTRODUCTION AND SCOPE
1. These Voucher Terms and Conditions (“Voucher Terms”) govern your purchase, receipt, and use of third-party digital vouchers (“Vouchers”) made available through the Saily mobile application (“App”). By purchasing or otherwise obtaining a Voucher through the App, you agree to be bound by these Voucher Terms, which form a binding legal agreement between you and Saily.
2. For the purpose of the Voucher Terms, “Saily”, “we”, “us”, or “our” shall mean the contracting entity as determined by the tax country of the user at the time of entering into these Voucher Terms, as follows:
  1. Europe Economic Area (EEA): Saily UAB, company code 307208658, principal business address Švitrigailos str. 36, 03230 Vilnius, Lithuania;
  2. Australia: CyberQuay Pty Ltd, company code 689 412 119, principal business address LEVEL 41, 161 Castlereagh str., Sydney, NSW, 2000, Australia;
  3. Rest of the world: Saily Inc., a corporation organized under the laws of the State of Delaware, United States of America, under registration number 4419800, principal business address 330 N Wabash Ave, Chicago, IL 60611, United States of America.
3. Please read these Voucher Terms carefully before purchasing any Voucher.
4. These Voucher Terms are supplemental to and form part of the Saily Consumer Terms of Service (“General Terms”), available at https://saily.com/legal/terms-of-service/, as well as the Saily Privacy Policy, available at https://saily.com/legal/privacy-policy/. Capitalized terms used herein but not otherwise defined shall have the meanings ascribed to them in the General Terms.
5. In the event of any conflict or inconsistency between these Voucher Terms and the General Terms, these Voucher Terms shall prevail to the extent of such conflict or inconsistency with respect to the subject matter covered herein.
DEFINITIONS
1. For the purposes of these Voucher Terms, the following terms shall have the meanings set forth below:
  1. “Voucher” or “Vouchers” means a digital code, token, or equivalent digital instrument issued by a Voucher Provider and made available for purchase through the App, which entitles the holder to redeem goods, services, discounts, or credits from the applicable Voucher Provider, subject to the Voucher Provider’s terms and conditions.
  2. “Voucher Provider” means the third-party company, merchant, or service provider (e.g., Uber, and any other providers as may be offered from time to time) that issues and is ultimately responsible for the fulfillment and redemption of the Voucher.
  3. “Voucher Code” means the unique alphanumeric code, QR code, barcode, or other digital identifier associated with a Voucher that is required to redeem the Voucher with the applicable Voucher Provider.
  4. “Saily Credits” means the virtual credits accumulated by a User within their Saily account under the Terms and Conditions of Saily's Rewards Program, which may be applied toward the purchase of Vouchers.
VOUCHER AVAILABILITY
1. Vouchers are made available through the App as a standalone offering. You are not required to purchase any other Saily service, including but not limited to Data Plans or other eSIM services, in order to purchase a Voucher. Vouchers may also be purchased in combination with other Saily services at the User’s discretion.
2. The type, denomination, quantity, and availability of Vouchers offered through the App may vary and are subject to change at any time without prior notice. Availability may depend on one or more of the following factors:
  1. the User’s country of residence or current geographic location;
  2. the Voucher Provider’s geographic service area, regional restrictions, and operational limitations;
  3. the Voucher Provider’s own terms of service, policies, and eligibility requirements;
  4. the User’s active Saily services, subscription tier, or account status;
  5. applicable laws, regulations, sanctions, or export controls;
  6. stock, supply, or inventory limitations imposed by Saily or the Voucher Provider.
3. Saily reserves the right to add, modify, discontinue, or withdraw any Voucher or Voucher Provider from the App at any time and for any reason, including but not limited to changes in Saily’s commercial arrangements with Voucher Providers, compliance requirements, or operational considerations. Saily shall have no obligation to maintain the availability of any particular Voucher or Voucher Provider.
PURCHASE AND PAYMENT
1. All Voucher purchases must be made through the App. Vouchers may be purchased using any of the following payment methods, as available at the time of purchase:
  1. entirely with Saily Credits;
  2. with a combination of Saily Credits and monetary payment (“cash”); or
  3. entirely with monetary payment.
2. Upon successful payment, the Voucher Code shall be delivered to you electronically (e.g., displayed within the App, sent to the email address associated with your Saily account, or both). Delivery of the Voucher Code constitutes fulfillment of Saily’s obligation with respect to the Voucher purchase transaction.
3. By completing a Voucher purchase, you acknowledge and confirm that:
  1. you have reviewed and agreed to the applicable Voucher details (including its value and price) and these Voucher Terms;
  2. you authorize Saily to process the payment using the selected payment method; and
  3. you understand that the redemption and use of the Voucher is subject to the Voucher Provider’s own terms, conditions, and restrictions.
  4. The use of Saily Credits toward Voucher purchases is subject to the Terms and Conditions of Saily's Rewards Program. If the Saily Credits balance is insufficient to cover the full purchase price, the remaining balance must be paid using an accepted monetary payment method.
VOUCHER REDEMPTION AND VALIDITY
1. Vouchers are redeemable exclusively with the applicable Voucher Provider and in accordance with the Voucher Provider’s terms, conditions, and policies. Activation and redemption of a Voucher may require you to complete additional steps as determined by the applicable Voucher Provider. Such steps may include, without limitation, installing the Voucher Provider’s application, creating or logging into a user account, accepting the Voucher Provider’s terms and policies, or completing identity verification or other onboarding requirements. Saily does not control, and is not responsible for, the redemption process, acceptance criteria, or fulfillment of any Voucher by the Voucher Provider.
2. Each Voucher has a limited validity period. The validity period is determined by the applicable Voucher Provider and may vary depending on the Voucher Provider, the type of Voucher, and the applicable jurisdiction. Information regarding the validity period of each Voucher will be provided (i) at the time of purchase, or (ii) within the Voucher details displayed in the App, to the extent such information is made available to Saily by the Voucher Provider. If such information is not made available to Saily, the validity period will be specified on the Voucher Provider’s platform.
3. It is your sole responsibility to redeem the Voucher within the applicable validity period. Saily shall bear no liability for any Voucher that expires unused or that is declined by the Voucher Provider for any reason, including but not limited to expiration, regional restrictions, or changes to the Voucher Provider’s terms.
4. Vouchers may be subject to additional terms, conditions, limitations, or restrictions imposed by the Voucher Provider, including but not limited to geographic restrictions, minimum purchase requirements, usage frequency limitations, category restrictions, and exclusions. You are solely responsible for reviewing and complying with the Voucher Provider’s applicable terms before and during redemption.
NO REFUNDS AND NO CANCELLATIONS
1. ALL VOUCHER PURCHASES ARE FINAL AND NON-REFUNDABLE.
  Once a Voucher purchase has been completed and the Voucher Code has been delivered or made available to you through the App, no refund, return, exchange, cancellation, or credit shall be issued, except where expressly required by mandatory applicable consumer protection law that cannot be excluded by agreement.
2. Without limiting the generality of Section 6.1, no refund shall be issued in any of the following circumstances:
  1. the Voucher expires unused;
  2. the Voucher is declined by the Voucher Provider;
  3. you fail to redeem the Voucher within the applicable validity period;
  4. you no longer wish to use the Voucher; or
  5. the Voucher Code is lost, stolen, compromised, or used by an unauthorized third party.
USER RESPONSIBILITIES AND VOUCHER CODE SECURITY
1. Upon delivery of the Voucher Code, you assume full and sole responsibility for the safekeeping, confidentiality, and security of the Voucher Code and all related information, including any associated PINs, activation codes, or redemption instructions.
2. Saily shall not be liable for any loss, damage, or unauthorized use of a Voucher Code after the Voucher Code has been delivered or made available to you. You acknowledge that Voucher Codes are digital instruments that may be vulnerable to theft, copying, interception, or unauthorized activation by third parties, and you agree to take all reasonable measures to protect the Voucher Code from such risks, including but not limited to:
  1. refraining from sharing the Voucher Code with any third party unless intended for legitimate personal use;
  2. storing the Voucher Code securely and not displaying it in publicly accessible locations;
  3. promptly redeeming the Voucher Code to reduce the risk of unauthorized use; and
  4. reporting any suspected unauthorized access to your Saily account or Voucher Code to Saily immediately.
PROHIBITED CONDUCT AND ABUSE
1. You agree that you shall not engage in any conduct that constitutes abuse, misuse, or fraudulent use of the Voucher or the App, including but not limited to:
  1. purchasing Vouchers for the purpose of resale, commercial distribution, or speculative trading;
  2. using multiple Saily accounts to circumvent purchase limits, eligibility restrictions, or these Voucher Terms;
  3. exploiting errors, glitches, or vulnerabilities in the App, pricing, or Voucher Code generation;
  4. using automated scripts, bots, or other programmatic methods to purchase Vouchers;
  5. providing false, misleading, or fraudulent information in connection with your Saily account or a Voucher purchase;
  6. engaging in money laundering, fraud, or any other unlawful activity through the use of Vouchers;
  7. attempting to reverse-engineer, decompile, or tamper with Voucher Codes; or
  8. any other conduct that Saily, in its reasonable discretion, determines to be abusive, fraudulent, or detrimental to the integrity of the App, the Voucher services, or Saily’s business interests.
2. If Saily reasonably suspects or determines that you have engaged in any prohibited conduct described in Section 8.1, Saily reserves the right, in its sole discretion and without prior notice, to take one or more of the following actions:
  1. suspend or permanently terminate your Saily account;
  2. suspend, revoke, or invalidate any Vouchers that have been purchased but not yet redeemed;
  3. forfeit any Saily Credits in your account;
  4. report the conduct to applicable law enforcement or regulatory authorities; and
  5. pursue any and all legal remedies available to Saily under applicable law, including claims for damages, injunctive relief, and recovery of costs and attorney’s fees.
ACCOUNT TERMINATION AND CONSEQUENCES
1. If your Saily account is deleted, terminated, or deactivated for any reason, whether by your action or by Saily, the following consequences shall apply immediately and without prior notice:
  1. all Vouchers that have been purchased but not yet redeemed or activated might be permanently and irrevocably deleted and forfeited, with no entitlement to any refund, credit, or compensation;
  2. all Saily Credits accumulated in the account, including credits that could have been used toward future Voucher purchases, shall be permanently and irrevocably forfeited and deleted; and
  3. reinstatement of forfeited Vouchers or Saily Credits shall not be possible, regardless of the reason for account deletion or the circumstances surrounding it.
2. You acknowledge and agree that it is your sole responsibility to redeem all outstanding Vouchers and utilize all Saily Credits prior to requesting account deletion or engaging in conduct that may result in account termination. Saily shall bear no liability for any loss arising from the forfeiture of Vouchers or Saily Credits upon account termination.
ROLE OF SAILY; THIRD-PARTY RELATIONSHIP
1. Saily acts solely as a distributor and intermediary for the sale of Vouchers issued by Voucher Providers. Saily is not the issuer, provider, or guarantor of any Voucher and does not act as an agent, partner, joint venturer, or representative of any Voucher Provider.
2. All obligations related to the Voucher, including but not limited to redemption, fulfillment, honoring of the Voucher value, customer support pertaining to the redeemed goods or services, compliance with applicable consumer protection laws regarding the underlying goods or services, and any warranties or representations regarding the quality or availability of goods or services obtained through a Voucher, rest solely with the applicable Voucher Provider.
3. By purchasing a Voucher, you acknowledge that you may be required to accept the Voucher Provider’s terms of service, privacy policy, or other applicable terms in order to redeem the Voucher. Saily is not responsible for, and disclaims any liability in connection with, the Voucher Provider’s terms, practices, policies, or conduct.
4. Any disputes, claims, or complaints relating to the redemption, fulfillment, quality, availability, or value of the goods or services obtained through a Voucher shall be directed solely to the applicable Voucher Provider. Saily shall not be a party to and shall bear no liability in respect of any such dispute.
DISCLAIMER OF WARRANTIES
1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAILY PROVIDES THE VOUCHER SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
2. Without limiting the foregoing, Saily makes no warranty or representation that: (a) the voucher services will be uninterrupted, timely, secure, or error-free; (b) any voucher will be honored, accepted, or redeemed by the applicable voucher provider; (c) the voucher provider will continue to operate or offer the goods or services for which the voucher is redeemable; (d) the quality, availability, or suitability of any goods or services obtained through a voucher will meet your expectations; or (e) any information provided in connection with the voucher services is accurate, complete, or current.
LIMITATION OF LIABILITY
1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAILY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE VOUCHER SERVICES, THESE VOUCHER TERMS, OR ANY VOUCHER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF SAILY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
2. SAILY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE VOUCHER TERMS OR ANY VOUCHER SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO SAILY FOR THE SPECIFIC VOUCHER GIVING RISE TO THE CLAIM.
3. Nothing in these voucher terms shall exclude or limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable mandatory law.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Saily, its affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all damages, losses, liabilities, costs, and expenses (including reasonable legal fees and costs of litigation) arising out of or in connection with: (a) your purchase, use, or misuse of any Voucher; (b) your breach of these Voucher Terms or the General Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any dispute between you and a Voucher Provider; or (e) your negligence, willful misconduct, or fraudulent conduct.
INTELLECTUAL PROPERTY
All trademarks, service marks, logos, trade names, and other intellectual property displayed in connection with the Voucher Services, including those of Voucher Providers, are the property of their respective owners. The display of Voucher Provider trademarks or logos on the App, Website and communication material does not grant you any license or right in or to such marks. You shall not use, reproduce, modify, or distribute any trademarks, logos, or intellectual property associated with the Voucher Services without the prior written consent of the applicable rights holder.
DATA PROTECTION AND PRIVACY
1. The collection and processing of personal data in connection with the Voucher Services is governed by the Saily Privacy Policy, available at https://saily.com/legal/privacy-policy/.
2. You further acknowledge that Voucher Providers may collect and process your personal data independently when you redeem a Voucher. Such collection and processing shall be governed by the Voucher Provider’s own privacy policy, over which Saily has no control and for which Saily bears no responsibility.
MODIFICATIONS TO THESE VOUCHER TERMS
1. Saily reserves the right to amend, modify, or update these Voucher Terms at any time for any reason, including but not limited to:
  1. compliance with legal or regulatory requirements;
  2. changes to the Voucher services or the App;
  3. changes in Saily’s commercial arrangements with Voucher Providers;
  4. prevention of abuse, fraud, or misuse;
  5. clarification or improvement of these Voucher Terms; or
  6. any other valid reason.
2. Where material changes are made that affect your rights or obligations, Saily will notify you in advance using reasonable means (e.g., via email, in-app notification, or by posting the updated Voucher Terms on the App or Website). It is your responsibility to regularly review these Voucher Terms. Your continued use of the Voucher Services after the effective date of any amended Voucher Terms constitutes your acceptance of such amendments.
GOVERNING LAW AND DISPUTE RESOLUTION
1. These Terms shall be governed by, and construed in accordance with, the laws of the state of Delaware, without reference to its choice of law rules. However, some countries (including countries of the European Union) have laws that require contracts to be governed by the mandatory provisions of the local laws of the consumer’s country. In such cases, mandatory provisions of the local laws of your country of residence apply.
2. Judicial Resolution of Disputes. Before filing a claim against Saily, please try to resolve the dispute informally by sending us a written notice of dispute at [email protected] that includes your name, a detailed description of the dispute, and the relief you seek. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved, you or Saily may bring a formal proceeding. You and Saily agree that any judicial proceeding to resolve claims relating to the Terms will be brought in the courts of the State of Delaware. If you reside in a country (including countries of the European Union) where laws provide consumers the right to bring disputes in their local courts, in such cases, mandatory provisions of the local laws of your country of residence apply. We always strive to address your concerns without needing a formal legal case.
3. NO CLASS ACTIONS. YOU AND SAILY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND SAILY AGREE OTHERWISE IN WRITING, THE ARBITRATOR OR JUDGE MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. ALSO, THE ARBITRATOR OR JUDGE MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED CANNOT AFFECT OTHER SAILY USERS.
FORCE MAJEURE
Saily shall not be liable for any failure or delay in the performance of its obligations under these Voucher Terms to the extent that such failure or delay results from circumstances beyond Saily’s reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, government actions, sanctions, embargoes, labor disputes, failures of third-party telecommunications or internet service providers, cyberattacks, power outages, or failures or disruptions of the Voucher Provider’s systems or services.
